Terms of service

These terms govern access to and use of the Ultranote app and website.

Acceptance of these terms

These terms of service form a binding agreement between you and Ultranote regarding your access to and use of the Ultranote app, website, and related services. By accessing or using Ultranote, you agree to these terms.

If you are using Ultranote on behalf of an organization, you represent that you have authority to bind that organization to these terms.

Eligibility and accounts

You must provide accurate information when creating an account and keep your credentials secure. You are responsible for activity that occurs through your account.

If you are under the age of majority where you live, you may use Ultranote only with the involvement of a parent or legal guardian.

Subscriptions, billing, and refunds

Some features may require a paid subscription. Pricing, billing cycles, renewal terms, and access levels may be shown inside the app at the time of purchase.

If you subscribe through Apple, Google, or another payment provider, billing, cancellations, renewals, and refunds may be handled by that provider under its own terms and policies. Except where required by law, Ultranote does not promise direct refunds for purchases processed by a third-party app store or payment provider.

License and permitted use

Subject to these terms, Ultranote grants you a limited, non-exclusive, non-transferable, revocable license to use the service for your personal or internal lawful purposes.

You may not copy, modify, distribute, sell, lease, reverse engineer, or attempt to extract source code from the service except to the extent such restrictions are prohibited by law.

Your content and permissions

You keep ownership of the content you create or upload. You grant Ultranote a limited license to host, store, reproduce, process, modify, and display that content only as needed to operate, secure, and improve the service.

You represent that you have the necessary rights to upload, record, process, and share the content you submit to Ultranote.

Acceptable use

You may not use Ultranote to violate laws, infringe intellectual property rights, disrupt the service, attempt unauthorized access, or upload harmful or abusive material.

You also may not use the service to probe, scan, or test vulnerabilities, interfere with other users, bypass technical limits, or use the service to build a competing product in a way that violates applicable law or these terms.

Generated output and educational use

Ultranote may generate notes, transcripts, answers, translations, flashcards, quizzes, mind maps, and other outputs based on content you provide. Generated output may contain errors, omissions, or unsupported conclusions.

You are responsible for reviewing generated output before relying on it for academic, professional, medical, legal, financial, or other important decisions.

Service changes, suspension, and termination

Ultranote may update, suspend, or discontinue features from time to time. Ultranote may also suspend or terminate access if it reasonably believes you violated these terms, created risk for the service or other users, or if continued operation is no longer commercially or legally feasible.

You may stop using the service at any time. Sections of these terms that by their nature should survive termination will survive, including sections relating to ownership, disclaimers, limitations of liability, and dispute resolution.

Disclaimers

The service is provided on an as available and as is basis to the maximum extent permitted by law. Ultranote disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability.

Limitation of liability

To the maximum extent permitted by law, Ultranote and its affiliates, service providers, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, goodwill, or business opportunities arising out of or related to your use of the service.

To the maximum extent permitted by law, the total liability of Ultranote for all claims arising out of or relating to the service will not exceed the greater of the amount you paid to Ultranote for the service during the 12 months before the event giving rise to the claim or 100 U.S. dollars.

Governing law and venue

These terms are governed by the laws of the State of Wyoming, without regard to conflict of laws principles. Any dispute arising out of or relating to these terms or the service will be brought exclusively in the state or federal courts located in Wyoming, and you and Ultranote consent to personal jurisdiction and venue in those courts.

If the laws of your jurisdiction give you the right to bring disputes in another forum or prohibit parts of this section, those laws may apply to you to the extent required.

Changes and contact

Ultranote may revise these terms from time to time. If material changes are made, the updated terms will be posted here with a new effective date. Your continued use of the service after the updated terms take effect means you accept them.
